Welcome to Global Nutrition Value operated by Guest Nutrition Limited (“GNV,” “we,” “us,” “our”). These Terms of Use (“Terms”) govern your access to and use of our websites, QR pages, mobile apps, and related services and platforms (the “Services”), including the GNV Code, RNP – Recipe Nutrition Profile, FIT – Food Intelligence & Transparency, and the Performance Platform.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Use of the Services & Accounts

1.1 Eligibility. You must be 18+ to use the Services.

1.2 Accounts. Some features require an account. You agree to provide accurate information, keep credentials confidential, and notify us of any unauthorised use. You’re responsible for activity under your account.

1.3 Updates & Changes. The Services evolve. We may add, modify, or remove features or discontinue the Services (in whole or part). Access to some features may require installing updates.

1.4 Monitoring & Suspension. We may monitor use and suspend or terminate access if we believe these Terms, law, or third-party rights are at risk, or for security/technical reasons.

1.5 Security. We use administrative, technical, and organisational measures, but no system is perfectly secure. Tell us immediately if you suspect unauthorised access.

2) Content & Intellectual Property

2.1 Definitions. “Content” includes information, data, text, images, software, code, and other materials. “User Content” is content you or your organisation provide or upload. “GNV Content” is all other content provided by us.

2.2 Ownership. We (and our licensors) own the Services and GNV Content, including all IP rights. You or your organisation own your User Content.

2.3 Your Licence to Us. To operate the Services, you grant us a worldwide, royalty-free licence to host, process, display, and otherwise use User Content solely to provide and improve the Services and as directed by your organisation (if applicable).

2.4 Our Licence to You. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services and GNV Content for your internal business or personal, non-commercial use (as applicable), subject to these Terms.

2.5 Acceptable Use. You will not: (a) reverse engineer or circumvent security; (b) misuse the Services to infringe rights, violate law, or distribute malware; (c) copy or create derivative works of GNV Content beyond what these Terms or applicable law allow.

3) Payment & Refunds

If a feature is paid, you agree to provide accurate payment details and authorise recurring charges where applicable. Fees are non-refundable except where we expressly state otherwise or as required by law. Refund requests must be made within 7 days of payment. We may suspend or terminate for non-payment.

4) Enterprise Use & Roles

For enterprise customers (e.g., hospitals, universities, caterers), GNV is generally a processor acting on the customer’s instructions; the customer is the controller of any personal data in the platform. Your organisation is responsible for lawful collection of data and for user access it provisions.

5) Privacy

Our handling of personal data is described in our Privacy Notice. By using the Services, you acknowledge it.

6) Third-Party Services

The Services may integrate with third-party tools (e.g., hosting, analytics). Your use of those is subject to their terms. We are not responsible for third-party sites/services.

7) Service Availability

We aim for high availability but do not guarantee uninterrupted or error-free service. Planned or emergency maintenance may occur.

8) Termination

You may stop using the Services at any time. We may terminate or suspend access at any time with or without notice if you breach these Terms, pose security/legal risk, or we discontinue the Services. Upon termination, your licence ends and you must stop using the Services. Outstanding fees remain due.

9) Disclaimers

To the fullest extent permitted by law, the Services and GNV Content are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10) Limitation of Liability

To the fullest extent permitted by law, our total liability for claims arising out of or relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim arose. We are not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill). Some jurisdictions do not allow certain limitations; in those cases, the limits apply to the maximum extent permitted.

11) Indemnity

You agree to indemnify and hold GNV, its officers, directors, employees, and agents harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services or breach of these Terms.

12) Compliance & Sensitive Data

Where the Services process dietary/allergen information or other special-category data, you (or your organisation) must ensure you have a lawful basis and any required consents/notifications. You will not upload health or other sensitive data unless the platform is configured for it by your organisation.

13) Governing Law

These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules, except as set out in §14 for U.S. residents.

14) Dispute Resolution; Arbitration & Class-Action Waiver (U.S. Residents)

If you are resident in the United States, you and GNV agree to binding individual arbitration for any dispute arising out of or relating to these Terms or the Services, administered by a recognised provider under its rules. Class actions/class arbitrations are not permitted. Either party may seek injunctive relief in court to protect IP or confidential information. If you are not resident in the U.S., disputes are subject to the exclusive jurisdiction of the Irish courts in Dublin, Ireland.

15) Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version with a new “Effective Date.” Your continued use of the Services constitutes acceptance of the updated Terms.
